Terms of Service

These Terms of Service ("Terms") govern your use of the TraceKit application ("the App") provided by NerdLabs ("we," "us," or "our"). By installing or using TraceKit, you agree to these Terms.

1. Service Description

TraceKit is a Shopify application, embedded in the Shopify admin, that lets merchants record and track lot, batch and expiry information against the products in their store. You log lot codes, quantities, suppliers, dates, status and notes; the App displays those records and summarizes which lots are expiring soon or past expiry. The App reads your product catalog in order to attach records to products, and does not write to your store.

2. Account and Eligibility

• You must have an active Shopify store to use TraceKit.
• You must have the authority to grant TraceKit access to your Shopify store.
• You are responsible for the lot records, statuses and notes you and your staff enter.
• You are responsible for the security of your Shopify account and for who on your staff can access the App.

3. Pricing and Billing

• TraceKit offers a Free tier, free forever, with up to 25 active lots.
• Paid tiers are billed through Shopify's billing system every 30 days: Micro $19.99/month (up to 150 active lots), Starter $49/month (up to 750), Growth $99/month (up to 3,000), Pro $199/month (up to 10,000), and Enterprise $349/month (unlimited). Tiers differ by active-lot capacity only.
• A 7-day free trial applies to your first paid subscription only.
• You may cancel at any time from within the App. Downgrading to the Free tier keeps your data.
• We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to reverse engineer, decompile, or extract source code from the App
• Use automated systems to scrape or extract data from the App beyond normal use
• Resell, sublicense, or redistribute access to the App
• Interfere with or disrupt the App's infrastructure

5. Data and Privacy

Your use of TraceKit is also governed by our Privacy Policy. By using the App, you consent to the collection and use of data as described therein.

You retain ownership of all your store data and the lot records you enter. We claim no ownership rights over your data.

6. Third-Party Integrations

TraceKit integrates with Shopify's platform and APIs. Your use of these integrations is also subject to:

We are not responsible for the availability, accuracy, or policies of third-party services.

7. Your Responsibility for Compliance and Decisions

TraceKit records what you enter and displays it back to you. While we strive for accuracy:

• Expiry summaries and lot counts depend entirely on the dates, quantities and statuses you enter.
• The App provides records, not legal, regulatory, food-safety, or quality-assurance advice, and is not a substitute for the compliance procedures your industry or jurisdiction requires.
• You are solely responsible for deciding whether to hold, pull or recall a batch, for carrying out any recall, and for notifying customers, distributors or authorities as required.

8. Limitation of Liability

To the maximum extent permitted by law:

• TraceKit is provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.
• We are not liable for compliance, recall, or business decisions made using the App, including any losses arising from products sold, held, or withdrawn on the basis of records kept in the App.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime.

10. Termination

• You may terminate your use at any time by uninstalling the App from your Shopify store.
• We may suspend or terminate your access if you violate these Terms.
• Upon termination, your data will be deleted within 30 days per our Privacy Policy. Lot records are retained for 48 hours after uninstall so an accidental uninstall can be reversed by reinstalling.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the App after changes constitutes acceptance. We will notify you of material changes via the App or email.

12. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through good-faith negotiation first, then binding arbitration if necessary.
